Terms Policy

Terms and Conditions for charging services 

We are Urban Fox Networks (UK) Limited, a company registered in England with company number 14708495 whose registered office is at Q14 Quorum Business Park, Benton Lane, Newcastle Upon Tyne, England, England, NE12 8BU.

Through Our Network, We provide electrical vehicle Charging Services to Our Customers. 

Further information about the Services We provide is available at urbanfox.network

The provision of Our Services is made subject to the Terms and Conditions set out below which includes important information concerning Our collection and use of Your personal information. 

These Terms and Conditions are between You and Us and govern Your and Our respective rights and obligations and are valid from 11 November 2024.

Your use of Our Services requires Your acceptance of these Terms including the policies incorporated by reference herein, which includes Our Privacy Policy. 

By ticking the checkbox on the registration page [of Our Website and/or App] You accept these Terms and Conditions and Our Privacy Policy and an Agreement between You and Us is created as set out in Clause 2.  

1 Definitions 

  • We, Our or Us - “Urban Fox Networks (UK) Limited” or “Urban Fox
  • You or Your - the person using the App, RFID Card, Payment Card or Website to engage the Services.
  • Agreement - these Terms and Conditions, any user guide and/or regulations supplied by Us to You, any other document referred to in these Terms and any terms and conditions for any other products and Services You choose to take out.
  • App - Our mobile application which may be downloaded from the internet via the Apple Store, the Android store or any online retailer as may be determined by Us from time to time onto various mobile electronic devices.
  • Charges - charges for Services, as published on Our App, Charge Points or which We otherwise provide. These include: Charging Services or charges for third party Services (billed after use) and any other charges for the Services provided to You or someone using Your App, Payment Card, RFID Card or Website login.
  • Charge Point - the equipment identified as part of the Services (owned by Us) and used by You to recharge electric vehicles with electricity.
  • Charging Service(s) - the services as set out in clause 3.1(b).
  • Network - all of the Charge Points owned and operated by Us.
  • Overstay Charges - the fees that can be charged to You if Your vehicle remains parked in the EV charging bay after Your charging session has been completed and is preventing other people from using the Charge Point. Our App and/or Website will identify if an Overstay Charge applies at the Charge Point You are using, together with the applicable rate (in pence per minute) and any grace period (i.e. a period during which no Overstay Charges are applied). If an Overstay Charge applies and You have agreed to receive notifications from Our App, then We will send You a reminder before the grace period expires. 
  • Payment Card - a credit or debit card issued by a financial institution giving the holder an option to borrow or use existing funds in their checking account at point of sale.
  • Privacy Policy - the Urban Fox Privacy Policy as set out on Our Website
  • RFID Card - a card provided by Your employer or a roaming partner for use at RFID-enabled Charge Points to enable You to use the Services.  
  • Services - the charging services (set out in clause 3) to be provided to You by Us under this Agreement, together with any other services which We agree to provide to You in writing.
  • Terms or Terms and Conditions - these terms and conditions (as amended from time to time) 
  • VAT - Value added tax chargeable under English Law for the time being and any similar additional tax.
  • Website - Our website, available at www.urbanfox.network.

2** Commencement and term

2.1 Your Agreement period:

(a)   this Agreement will commence upon Your acceptance of these Terms, use of the App, RFID Card, Website or any Services.

(b)  unless We tell you otherwise, We will continue to supply You with the Services until We or You end this Agreement in line with clause 16 or 17.

3 Services

3.1 We shall provide You with the following services (the “Services“):

(a)   the use of the App and/or the Website to identify the geographical location of a Charge Point and its status;

(b)  the use of a Charge Point within Our Network to recharge Your vehicle with electricity (the “Charging Service“);

(c)   the ability to use the App, a Payment Card or optional RFID Card to pay for the recharging of Your electric vehicle; and

(d)  the use of a customer service telephone helpline (the details of which are provided in clause 29 to assist You to use the Services or report a fault, subject to these this Agreement.

3.2 We offer a pay-as-you-go Service which is generally based on Our current electricity cost, either metered or estimated in accordance with standard evaluation methodology. The amount You are charged for usage may vary depending on the time of day when the charging activity takes place, and the location. Please refer to Our App for more information.

3.3 When using the App, Website or Services You agree to comply with Apple’s, Google, Android’s or any other third parties’ terms and conditions and privacy policies.

3.4 You agree that You are solely responsible for all costs and expenses You may incur in relation to Your use of the App or Website for example mobile data charges.

3.5 When using the App or Website or Services, You agree not to:

(a)   misuse or attack Our App or Website or Charge Point by knowingly introducing viruses, trojans, worms, logic bombs or any other material which is malicious or technologically harmful (such as by way of a denial-of-service attack); or
(b)  attempt to gain unauthorised access to Our App or Website or Charge Points, the server on which Our App or Website or Charge Point is stored, or any server, computer or database connected to Our App or Website or Charge Points.

3.6 If You are not based in the UK, You may be unable to obtain certain Services.

3.7 If You do not accept any of the Terms in this Agreement You may deactivate Your account with Us.

4 Coverage

4.1 We will try to give You the Services when You want them. However, due to the nature of technology, it’s impossible to provide a fault-free service.

4.2 You acknowledge that under this Agreement We are not guaranteeing, representing, or warranting the working order or suitability of any Charge Point or Our Network at any given time, or that the use of the App, RFID Card or Website or Services will be uninterrupted and/or free from defects.

4.3 We may suspend the Services if there are any technical problems or where it is to make improvements to the Services. We will endeavour (but are not obliged) to contact You to let You know in advance when this occurs.

4.4 You agree that We may, from time to time, remove all or part of the Services for indefinite periods of time or any part of the Services at any time, without notice to You.

4.5 If You fail to pay the Charges or fail to provide sufficient information to Us as requested, We may suspend all or part of the Services to You with immediate effect until You have paid to Us the outstanding amounts, and We may issue legal proceeds against You to recover any monies due and charge You an additional cost, including Our reasonable and proper debt recovery costs.

4.6 Services You enjoy in the UK may not be available when You are abroad.

5** Parking Restrictions

5.1 It is Your responsibility to check whether there are any parking restrictions nearby or attaching to each Charge Point to ensure You do not contravene any traffic laws and regulations. This may include (but is not limited to):

(a) paying for parking whilst charging Your electric vehicle,

(b)  not paying for parking whilst charging Your electric vehicle but being required to pay once the charge has completed; or

(c)   requiring a residents’ permit to park and charge Your electric vehicle at a particular Charge Point.

5.2 In addition, You must:

(a)   comply with all signs in the car park and within the vicinity of the Charge Point;

(b)  park within the limits of the charging bay;
(c)   not park within a bay designated for a specific purpose when You are not entitled to do so;
(d)  pay all amounts due for Your parking at the car park and within the vicinity of the Charge Point.

5.3 The parking restrictions are determined and enforced by the relevant local council which is also responsible for ensuring that signs clearly indicate what rules apply. Whilst We will try to provide information on the regulations that apply to that parking bay (on the relevant Charge Point page in Our App or Our Website), the regulations are subject to change without Us being notified. As such, please do not rely solely on the information provided in Our App or on Our Website but rely on the local signage. We are not responsible for any parking or penalty notices, charges or fines You receive whilst using Our Charge Points.

6 Using the Services

6.1 It is Your responsibility to make sure You comply with this Agreement, and You follow Our instructions on using the Services even if someone else is using Your electric vehicle or App.

6.2 You must never use the App, RFID Card, Website or the Services for anything We would consider as abusive, illegal, fraudulent, or a nuisance.

6.3 You are not allowed to sell all or any part of the Services to anyone else. 

6.4 You must ensure that recharging is carried out safely to avoid injury to any person or damage to property. You must ensure that:

(a) You do not access the App or Website until You are parked safely;

(b) You do not tamper with the Charge Point;
(c) You check the Charge Point for any signs of damage before use. Do not use it if there are signs of damage and report any damage using the free phone number on the Charge Point;
(d) You do not use the Charge Point or the charging bay for any other purpose than charging an electric vehicle;
(e) You do not act in any way such that the operation of the Charge Point or Network will be either jeopardised or impaired;
(f) You do not do anything that may cause Our policy of insurance in respect of the Network, Charge Point or charging bay to become void or voidable or that increases the insurance premiums payable in respect of it;
(g) If any act or omission by You results in an increased premium in Our insurances, You must on demand pay Us a sum equal to that increase;
(h) If You provide the charging cable used to connect Your car to the Charge Point (the “Cable”), You check that the charging cable is not damaged and is suitable for the purpose of charging Your vehicle; if it is not, then do not use the charging cable;
(i) Ensure that Your Cable will not present a trip hazard to others whilst charging Your electric vehicle. The Cable should be tucked down between the vehicle and the verge and should have enough slack to run along the ground. The Cable should not be suspended between the Charge Point and the vehicle. If there is not a safe way to park and charge, do not charge. You may be responsible for any injuries caused by Your Cable being a trip hazard;
(j) You do not use a cord extension set with Your Cable;
(k) You do not use an adaptor with Your Cable; 
(l) the Cable is safely plugged into Your electric vehicle;
(m) the Cable is plugged and unplugged from the vehicle in accordance with the vehicle manufacturer’s instructions and reconnected to the Charge Point; 
(n) You disconnect the Cable from Your vehicle and place the connection point of the Cable back in the Charge Point prior to departing from the charging bay, if applicable: and
(o) when Your vehicle is fully charged or You have completed Your charging session, You remove the vehicle to ensure it does not obstruct access to the Charge Point for other users. Failure to do so may result in You incurring Overstay Charges.

6.5 WARNING: Charging points may generate electro-magnetic fields which may be harmful to pacemaker wearers. If You have a pacemaker and are unsure about whether it is safe for You to use a Charge Point, please do not use the Charge Point at that time. If You have a pacemaker and You do use a Charge Point, maintain as much distance as possible from the Charge Point. If You feel uncomfortable at any time while using a Charge Point, please stop using that Charge Point immediately.

6.6 You shall comply with all instructions from Us in relation to the delivery of the Services, and the connection and disconnection of Your vehicle to and from the Charge Point and You shall reimburse Us on demand in respect of all costs, claims, demands, expenses, and liabilities which We may suffer or incur arising out of or in connection with Your failure to comply with such instructions.

6.7 Some of Our Charge Points do not have a user interface. If this is the case, then you will need to use Our App or Website.

6.8 It is Your responsibility to ensure You abide by local parking restrictions (see clause 5).

6.9 You will need to search for the Charge Point (using the unique identifier and socket number located on the Charge Point) on Our App or Website or by scanning the QR code on the Charge Point to direct You to the app store to download the App (available on most of Our Charge Points). Our Website or App will then guide You through the charging process.

6.10 When using the Charge Point You should match the unique identifier and socket number for the Charge Point in front of You with the Charge Point as shown on the App/ Website, connect Your charging cable to both of Your vehicle and the Charge Point and then either register through Your account or make payment via a credit or debit card.

6.11 The Service will notify You once Your charge has completed. Either unlock the socket flap with the vehicle fob or click the button within the App/ Website to end the charging session. Retrieve Your Cable by disconnecting it from Your vehicle and then the Charge point.

6.12 If Your vehicle remains in the parking bay for the Charge Point after Your charging session has completed, then an Overstay Charge may apply. Please see Our Website and App for details of the Overstay Charges that apply at the Charge Point You intend to use.

6.13 Charging of electric vehicles is subject to availability. We make no promise that the Services will be available from a particular Charge Point at any particular time. 

6.14 Charging a vehicle from a Charge Point may be subject to delays and interruptions resulting from power or communication failures. These failures are not within Our control. Please rest assured however, if Your vehicle charging has been interrupted, You will only be charged for the electricity actually consumed.

6.15 Your access to Our App or Website may occasionally be restricted or interrupted to allow for maintenance or the introduction of new facilities or services or for reasons beyond Our control (such as a communication systems outage). We will endeavour for any updates to the App or maintenance to the Website or Services to take place during times when generally the Services are not widely used. In any event We will attempt to restore the App and/ or Website as soon as possible. 

7 Prohibited Activities

7.1 You must not:

(a) deposit rubbish or litter within the vicinity of the Charge Point;
(b) bring into or keep in the vicinity of the Charge Point any motor fuel or lubricating oil other than that inside the fuel tank, sump, and engine of the vehicle;
(c) clean any vehicle or undertake any maintenance or repair of any vehicle within the vicinity of the Charge Point;
(d) do anything that may be or become a nuisance or annoyance or cause Us to incur any liability to any other person using the Charge Point;
(e) Smoke, smoking is forbidden within the vicinity of the Charge Point.

8 Account Set Up and Registration 

8. There are several ways in which You can pay for Our Services (see clause 9). Our preferred approach is for You to set up an account with Us as set out below. However, You may also register Your Payment Card on our App and use Our Services as a ‘guest’ each time that You use Our Services.

8.2 You must be 17 years of age or older. If We become aware that a person under 17 has sought to set up an account, We will take steps to terminate the account unilaterally and are not obliged to provide any notice to that user. When terminating such an account We will comply with all applicable laws.

8.3 When You apply to set up an account with Us, We will ask for some of Your personal information including Your name, email address and phone number – without this information You cannot set up an account. In addition, to speed up how You can use Our Services, You have the option to provide Us with Your billing address, postcode, Your town/ city and Payment Card details. Any personal information You provide to Us will be handled in accordance with Our Privacy Policy.

8.4 If You register to use the Services, You will be asked to create a password. In order to prevent fraud, You must keep this password confidential and must not disclose it or share it with anyone. If You know or suspect that someone else knows Your password, You should notify Us by contacting support@urbanfox.network and change Your password immediately. If You have forgotten Your password, We will provide You with a link to create a new one.

8.5  If We have reason to believe that there is likely to be a breach of security or misuse of Your account We may request or require that You change Your registration details, including Your password or We may suspend Your account. Until You have changed all Your passwords, or We have reactivated Your account You will not be able to access the Services.

8.6 You agree that all information that You supply to Us will be accurate, complete, and kept up to date at all times. We may use the information provided to Us to contact You.

8.7 We will charge Your credit or debit card for use of the Services and for any other applicable charges or fees. If Your Payment Card expires You will need to update those details in Your user account to be able to continue to use the Services in the same way.

8.8 A pre-authorised amount will be secured on the Payment Card You use to pay for Charging Services. More details on payment options are provided at clause 9. 

9 Charges and Payment Options

9.1  In consideration of Us providing the Services to You, You shall pay the Charges to Us for using the Charge Point to charge Your electric vehicle.

9.2 The Charges payable by You are displayed on the Charge Point (if it has a screen) and the App.

9.3  Payment may be made in the following ways:

  • “Pay as you go” - You may pay for the Services on a “pay as you go” basis using either (a) the Payment Card registered to Your account with Us (see clause 8); or (b) a third-party app or roaming service, such as ZapMap; or (c) the Charge Point “point of sale” terminal (if one exists); or (d) a “guest” account through our App and uploading Your Payment Card.  A pre-authorisation transaction of up to £35 will be requested from Your bank. Your bank must authorise this before the Services can start.  The Charges will be displayed on the Charge Point screen or on Our App and the payment transaction occurs immediately after the charging session has completed.
  • "Account” -  You may register Your Payment Card via the App with an account that can be used to pay for the Services.  A pre-authorisation transaction of up to £35 will be requested from Your bank. Your bank must authorise this before the Services can start.  The Charges will be displayed on the Charge Point screen or on Our App and the payment transaction occurs immediately after the charging session has completed.
  • “RFID card" - If Your employer or a roaming partner has provided You with a RFID card, then Your employer or roaming partner will provide the details needed to process any payments prior to activating the RFID card. The Charge Points will be displayed in Our App, or the third party linked app.

9.4 You acknowledge that a pre-authorisation transaction is required in advance of using the Services.

(a) A pre-authorisation is a temporary hold of a specific amount of the available balance on a Payment Card.

(b) The pre-authorisation is not a charge and no funds have been debited from Your account. When You give Us a credit/debit card, the pre-authorisation guarantees Us that funds are available to pay for the Services.

(c) Any amount not used will be calculated at the end of the charging session and refunded to You. 
(d) Please note that whilst the refund is initiated immediately and automatically, it can take up to ten (10) business days to be reflected in Your account (depending on Your bank’s procedures). 
(e) If Your charging session exceeds the pre-authorised amount, a second pre-authorised amount will be secured on that Payment Card (and the remainder refunded as set out above).

9.5 VAT will be included if it applies.

9.6 Where the Charges are calculated on a kWh unit basis, such units are measured at point of charge by the MID certified AC meters and DC meters at the Charge Points.

9.7 The Charges may include a transaction fee for card processing and payment service fees incurred by Us.

9.8 If You owe Us any money beyond the due date for payment, We reserve the right to charge You interest. We charge interest daily at the rate of 2% above the Bank of England base rate or in the absence of them any other institution of a similar standing. 

9.9 We reserve the right to retry processing payments in any cases where You owe Us money for Services including but not limited to failed transactions for Services. We will attempt to retry processing payments for the outstanding money You owe Us for a further 4 weeks beyond the due date for. 

9.10 If Our attempts to retry processing payments as set out above are unsuccessful, We reserve the right to suspend Your account until all outstanding amounts for money owed due to Us has been settled and paid. We may write to You by email or post to settle any outstanding balances owed and any steps taken shall be without prejudice to any claim, counterclaim, settlement, agreement or set-off save as to costs. 

9.11 We may charge You reasonable administration costs if You pay Your bill late or You fail to pay it.

10 RFID Cards

10.1 We do not currently offer RFID cards however roaming partners, employers or fleet managers may supply these to You and where applicable, may be used on RFID enabled Charge Points. 

10.2 If an Urban Fox RFID Card becomes available from Us, You can request it from the Website after registering Your payment card following the instructions on the App.

10.3 We reserve the right to charge a fee for supplying the RFID or any subsequent RFID Card issued to You.

10.4 We reserve the right to prevent the use of or to withdraw Your RFID Card at any time if We have reason to suspect (in Our opinion) that it is being improperly used in any way or used in a way that is not permitted by this Agreement.

10.5  You must touch Your RFID Card on the touch pad at any RFID-enabled Charge Point. This will then authorise and initiate the Service, with the payment transaction occurring immediately after the charging session has completed.

10.6  The RFID Card automatically expires if there have been no transactions in the preceding 12 months.

11 Losing Your Payment Card, RFID Card or App or Website password,

11.1 Use of the App or Website may require registration, particularly to access restricted areas of the App or Website.

11.2 We are not obliged to permit anyone to register with the App or Website and We may refuse, terminate, or suspend registration to anyone at any time.

11.3 You are responsible for making sure that Your password and any other account details are kept secure and confidential.

11.4 If You suspect Your App password or Website password has been compromised in any way, then You should change it immediately to prevent any unauthorised use of Your details. We will hold You responsible for all Charges that are incurred as a result of unauthorised access through Your account.

11.5     If Your Payment Card or RFID Card is lost or stolen, You must tell Us as soon as possible so We can stop someone else using it for a charging session. You are responsible for all Charges up until the time You report Your Payment Card or RFID Card missing or stolen to Us.

11.6  While We try to make sure that the App and Website is secure, We do not actively monitor or check whether information supplied to Us through the App or Website is confidential, commercially sensitive, or valuable.

11.7  Other than any personal information which will be dealt with in accordance with Our Privacy Policy, We do not guarantee that information supplied to Us through the App or Website will be kept confidential and We may use it on an unrestricted and free-of-charge basis as We reasonably see fit.

12  Changing Charges and terms

12.1 We may change or introduce new Charges. If We increase Our Charges, We will publish the changes on Our App and Website and, if applicable, display at each Charge Point that contains a display screen.

12.2 However, We may not give You notice of such changes if they relate to third party Services which You don’t regularly use.

12.3 We may change or withdraw the App, RFID Card, Website or Services at any time.

12.4 These Terms may be changed from time to time. Notification of any changes will be made by posting new terms to Our website or within the App or notifying You by email.

12.5 If the Terms are updated, then the next time You access Our Services You will be asked to accept the new Terms before You can use the Services. We may (but are not obliged to) highlight what has changed. We will keep a record of Your acceptance of the Terms.

12.6 If You do not accept the latest version of the Terms, You may deactivate your account with Us.

13 Limit, deposit, and part payments

13.1  e may set a monthly limit, being a maximum amount outstanding for payment, on Your account (“Limit”). We may increase or remove this after carrying out a credit check. You may be able to go over Your Limit, but if this happens, You must pay all Charges.

13.2 We may ask You for a deposit: (a) at the start of this Agreement; (b) if You increase how much You use the Services; or (c) to remove a block from Services.

13.3 You can ask for a refund of Your deposit at any time, but We may reduce Your Limit if You do.

13.4 We can use the deposit to pay off any Charges You owe Us. When this Agreement comes to an end, We will repay any deposit You have given us less any money You owe us. We will not pay any interest on any deposit We take from You.

13.5 If there’s a significant increase in Your usage between bills, We may contact You and ask for a part payment so You can continue to use the Services.

14 Suspending Our Services

14.1 We can suspend or restrict Your use of any of the App, RFID Card, Services or Website if:

(a) we believe the App, RFID Card, Website or Services are being used in a way We do not allow under this Agreement;

(b) You have not kept to this Agreement (for example, You fail to pay any Charges when due);
(c) You have not paid any Charges;
(d) We have asked You for a deposit or part payment which You have not paid;
(e) You go over Your Limit;
(f) We believe that this Agreement was entered into fraudulently or You got the use of the App, RFID Card, Website or Services in an unauthorised, illegal, or fraudulent way;
(g) You tell Us that Your App or Website login, or Your RFID Card or Payment Card has been lost or stolen;
(h) You become bankrupt or make any arrangement with creditors or go into liquidation or an administration order is made, or a receiver is appointed over any of Your assets;
(i) You do anything (or allow anything to be done) which We think may damage or affect the operation of the Charge Point or Our Network or Services; or
(j) the emergency services tell Us to, or a law or regulation is passed which means We need to do so.

14.2  We will try to tell You when We suspend or restrict Your use, but We do not have to.

14.3   When We suspend or restrict Your use, this Agreement will continue, and You still must pay all Charges due during any period when We suspend or restrict the Service.

15 **Credit
**15.1  If for any reason the Charge Point fails to recharge Your electric vehicle with electricity after payment has been made:

(a) You should contact Us within 90 days to obtain a refund.

(b) The refund process may take up to 20 days, depending on the card issuer.

16 **Ending this Agreement
**16.1    Both You and We have the right to deactivate Your account at any time. Upon such deactivation, any personal details We have on You will be deleted. We retain only information on when a Charge Point has been used and that information is anonymised. For the avoidance of doubt You or We can deactivate your account and stop using the Services at any time but You must pay any outstanding Charges. 

17 **Liability and exclusions
**17.1     We are legally responsible to You if Our negligence causes death or personal injury. We will not be legally responsible to You for:

(a) loss of income or profits;
(b) loss of anticipated savings;
(c) loss of use of the Services;
(d) data loss
(e) lost business or missed opportunities; or
(f) any loss or damage that is not directly caused by Us or which We could not reasonably expect at the time We entered into this Agreement with You. We will not be legally responsible to You if We cannot provide the Services because of something outside of Our reasonable control.

17.2 Except for fraud or where Our negligence causes death or personal injury, We will not pay more than the Charges paid for the Services by You.

17.3 The Terms and this Agreement will not affect any rights which You may have under any law and which We cannot exclude under any agreement.

17.4 We do not accept any responsibility for the loss or theft of any Cables. If You struggle to disconnect your Cable from the Charge Point, please call Our helpline.

17.5 We are not liable for any damage to Your vehicle or other property which arises due to a fault with Your vehicle or Cable.

17.6 Any claim You may have in relation to Your use of the Charge Point and/or Our Services must be made solely via the Terms and this Agreement and this will be Your sole remedy in relation to such claim. If You have recovered any damages or losses in relation to any other claim which relates to Your use of the Charge Point and/or Our Services via a third party you shall not be eligible to make any other claim under this Agreement for the same.

18 Personal Information**

18.1     You confirm and represent that the details You have provided to Us at the time of registering for the App, Website and/or a RFID Card are correct. You must inform Us as soon as practicable if Your details change.

18.2 We and Our group companies may use Your information to:

(a) manage Your account, carry out customer-care activities and train Our staff, including monitoring calls, emails, or text messages that You send to Us;
(b) monitor the quality and security of Our Charge Points and Network and test and maintain Our IT systems;
(c) analyse Your use of the Services for marketing purposes, including, but not limited to, the calls and messages You send and receive and Your location at the time these communications take place, as well as Your browsing history and use of Our Website;
(d) contact You with marketing messages if You have not declined to receive such messages. You will be able to decline to receive such messages at any time through the App by writing to Us or unsubscribing. 19 **Data
**19.1     To the extent that any data or information belonging to You is personal data within the meaning of the Data Protection Act 1998 or equivalent legislation:

(a) We will process such data and information only as required to operate and provide the subscribed Services;
(b) We will not transmit such data and information to a country or territory outside the European Economic Area without Your prior express written consent; and
(c) We will take such technical and organisational measures against unauthorised or unlawful processing of such data and information and against accidental loss or destruction of, or damage to, such data and information as are appropriate to You as data controller.

19.2 You will provide Your personal information to Us and We license and run the software to provide the Services. If You object to Your information being transferred or used in this way do not use the Services.

19.3 Your payment details are not held by Us but by a third-party payment service provider, who complies with PCI DSS Level 1.

20 **Carbon Abatement
**20.1 We retain any and all environmental attributes associated with the Services, including carbon offset credits potentially available from electric vehicle customers charging their vehicles at any location where We own, operate and maintain the Charge Point.

21 **Credit reference and fraud prevention agencies
**21.1 You can ask Us about how We use Your details for credit checking and fraud prevention when You take out this Agreement. We may release, to credit-reference agencies, debt-collection agencies and fraud-prevention agencies, details of Your Agreement with Us including any change of address, payments You make, account balances, missed payments, disputes and queries. We, and other organisations, may use this information to help make decisions about other credit applications made by You or other members of Your household You are linked to financially and to protect both Our business and Our customers from fraudulent activity. We may also use any information We hold to trace debts and assess claims. If You fail to pay us in full, and on time, We may tell credit-reference agencies who will record the debt.

21.2 If false or inaccurate information is provided and fraud is identified, details will be passed to fraud-prevention agencies. Law enforcement agencies may access and use this information. We and other organisations may also access and use this information to prevent fraud and money laundering, for example, when:

(a) checking details on applications for credit and credit-related or other facilities;

(b) managing credit and credit-related accounts or facilities;
(c) recovering debt;
(d) checking details on proposals and claims for all types of insurance; or
(e) checking details of job applicants and employees.

22 **Third Party Materials
**22.1 Certain content and services available via the App and Website may include materials from third parties. You agree that We are not responsible for examining or evaluating the content or accuracy and We do not warrant and will not have any liabilities or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties.

22.2 You agree not to use any third-party materials in a manner that would infringe or violate the rights of any other party and We are not in any way responsible for any use by You.

23 Intellectual Property Rights

23.1 You shall not acquire, in any way, any title, rights of ownership, or interest in any Intellectual Property Rights of whatever nature which may exist or come into existence and no Intellectual Property Rights are transferred or licensed because of this Agreement.

24 No tenancy

24.1 You acknowledge that this Agreement does not confer a right of exclusive possession in respect of any part of the Charge Point, Network or charging bay. Nothing in this Agreement is intended to create a tenancy and at the end of the charging session You have no right to remain at or trade from the Charge Point, Network or charging bay.

25** **Oral Statements
**25.1 You agree that, in the event of any conflict, written data and specifications supplied by Us shall prevail over any oral statements made by Us or by Our employees, agents or sub-contractors (although We shall be responsible for any fraudulent misstatements).

25.2 We shall use Our reasonable efforts to ensure that Our written data and specifications are accurate in all material respects.

26 **Complaints
**26.1 If You have a complaint, please contact Us. We will do our best to fix Your issues.

27 **General
**27.1 We may transfer this Agreement to anyone at any time. However, You can’t transfer this Agreement to anyone unless We have agreed in writing beforehand. We will not unreasonably refuse this request.

27.2 If You or We fail to enforce our respective rights under this Agreement, it will not prevent You or Us from taking further action.

27.3 A person who is not a party to this Agreement has no right to benefit under or to enforce any terms of this Agreement.

27.4 We will send You notices by post, voicemail, text, email, or other form of electronic message and will assume for notices by post that You have received them 48 hours after We have sent them. You must tell Us about any changes to Your address. If You want to write or email Us, please use the address shown on Your bill. You can then assume We have received these notices 48 hours after You have sent them.

27.5 This Agreement is under English law, unless:

(a)   You live in Scotland, in which case, it will be governed by Scots law; or
(b)  You live in Northern Ireland; in which case it will be governed by the law of Northern Ireland.
